Certificates of Formation

Rousix Translucent Portals Inc.

Because Rousix Inc. and Translucent Portals Inc. were formed in 2016 and 2017 respectively, their authorized, issued, and outstanding shares have existed for a multi-year period. This matters because, in corporate and securities practice, the length of time shares have been outstanding can affect how and when those shares may be transferred, resold, or introduced into different capital markets—subject always to applicable laws and exemptions.

In simple terms, newly issued shares are typically restricted, meaning they cannot be freely sold or transferred without meeting specific regulatory conditions. Over time, however, shares that have been properly issued and continuously outstanding may become “seasoned”, a term used to describe securities that have aged beyond initial holding periods and disclosure thresholds required under certain regulatory frameworks. Seasoning does not automatically make shares public or unrestricted, but it can expand the range of lawful pathways through which they may be transferred or offered.

As a result of their corporate age, Rousix Inc. and Translucent Portals Inc. are structurally positioned to utilize a broader spectrum of regulated capital-raising and liquidity mechanisms, including Rule 144 resales (where applicable), Regulation D private offerings, Regulation A+ offerings, and other compliant transactional pathways, each with its own eligibility requirements, disclosure standards, and investor qualifications. The availability of any specific pathway depends on facts, timing, investor status, and ongoing compliance, rather than age alone.

Practically speaking, this corporate maturity provides flexibility. It allows capital strategy to be designed around long-term planning rather than startup-stage constraints, and it enables the companies to align private, semi-public, or public market participation in a measured and lawful way. Importantly, it also supports institutional and qualified investor diligence, as seasoned equity structures are generally viewed as more transparent and operationally established than newly formed issuers.

In short, the multi-year existence of Rousix Inc. and Translucent Portals Inc. does not eliminate regulatory requirements—but it does provide a more versatile foundation from which compliant capital formation, equity structuring, and market participation can be thoughtfully executed.
